Terms of Service

1. Eligibility and Acceptance

You must be at least 18 years old and legally capable of entering into a binding agreement to use IdGenum.

Unless IdGenum expressly enables an authorized-representative feature, you may create, register, or verify only a persona that represents you.

By creating an account, you represent that the information you provide is accurate and that you have the legal right to provide any photographs, recordings, profile information, or other materials submitted to the Service.

IdGenum may require separate consent for particular features, including biometric enrollment and future monitoring or scanning features.

2. The IdGenum Service

IdGenum provides technology for creating and maintaining digital persona records, identity verification, digital credentials, verification status, and related identity-protection functionality.

Certain features may vary by subscription plan.

IdGenum may introduce additional capabilities after launch, including internet monitoring, likeness detection, or scanning functionality. Any such feature that is not yet active will be identified as Coming Soon, Planned, Preview, or similar language and will not be treated as an active service until made available to the applicable subscriber.

Before monitoring or scanning functionality becomes active for a user, IdGenum may require additional disclosures, consent, or acceptance of supplemental terms.

IdGenum does not provide legal advice, legal representation, or a legal determination that a particular use of your identity, image, voice, or likeness violates the law.

Registration, verification, a decentralized identifier, credential, badge, or other IdGenum record does not by itself create, transfer, adjudicate, or guarantee legal ownership of intellectual-property, publicity, privacy, estate, inheritance, or other legal rights.

3. Accounts and Persona Registration

You agree to:

• provide accurate and current information;
• maintain the confidentiality of your account credentials;
• promptly notify IdGenum of suspected unauthorized access;
• register only your own persona unless an authorized-representative feature is expressly made available;
• provide only content and information that you have the right to submit; and
• keep information reasonably current where accuracy affects verification or service delivery.

You are responsible for activity occurring through your account unless caused by IdGenum's own acts or omissions.

You may not impersonate another person, create a deceptive persona, or submit information that you know is false, fraudulent, misleading, or unauthorized.

4. Subscription Plans

IdGenum may offer free or paid subscription plans, including protection plans and Legacy plans.

Current pricing, billing frequency, included features, renewal terms, termination fees, and other material purchase terms are displayed on the applicable pricing or checkout page before purchase.

Unless otherwise stated at checkout, paid subscriptions renew automatically for the same billing interval until canceled.

Taxes may be added where required.

IdGenum may change pricing or plan features in the future. Where required by law, or where a change materially affects an existing paid subscription, IdGenum will provide advance notice before the change applies to a renewal.

5. Individual-Only Legacy Plans

At launch, Legacy Standard and Legacy Premium subscriptions are available only to the individual subscriber whose IdGenum persona and account are associated with the plan.

A Legacy subscription does not create a trust, will, power of attorney, estate plan, beneficiary designation, fiduciary appointment, or other legally binding estate-planning instrument.

Any beneficiary, legacy contact, continuity, inheritance, transfer, or related functionality provided by IdGenum is a technology or record-management feature unless expressly stated otherwise.

Users are responsible for obtaining independent legal advice regarding wills, trusts, estate planning, inheritance, intellectual-property transfers, publicity rights, or other legal arrangements.

IdGenum may introduce authorized-agent, family, estate-representative, or multi-person functionality in the future under additional terms.

6. Billing, Cancellation, and Refunds

6.1 Basic Protection Annual Plan

If Basic Protection is purchased as an annual plan, the annual subscription fee is non-refundable after payment, except where:

• a refund is required by applicable law;
• there is a verified duplicate or erroneous charge; or
• IdGenum expressly agrees otherwise.

Canceling Basic Protection stops future renewal. The account and applicable paid features remain active through the end of the already-paid annual subscription period.

The non-refundable nature of the annual plan is disclosed before purchase.

6.2 Monthly Subscription Plans

For monthly subscription plans:

• you may cancel at any time through the available billing controls;
• cancellation stops the next renewal;
• the account and applicable paid features remain active through the end of the current paid monthly billing period; and
• no prorated refund is issued for the partially used current month, except where required by law or for a verified billing error.

6.3 Prepaid or Multi-Period Plans

If a plan is prepaid for a period extending beyond the current monthly service period and that plan is eligible for prorated refunds, cancellation will generally take effect at the end of the current monthly service period.

Any eligible refund will be based on the unconsumed prepaid portion remaining after that date, less any applicable processing or termination fee disclosed at the time of purchase.

The calculation method and applicable fee may vary by plan.

6.4 Legacy Standard and Legacy Premium

Legacy Standard and Legacy Premium follow the same general cancellation approach:

• service remains active through the end of the current monthly service period;
• the current month is not refunded;
• any eligible unused prepaid amount after the current service period may be refunded; and
• the refund may be reduced by an applicable Legacy termination processing fee disclosed at purchase.

The Legacy termination fee may differ from fees applicable to other subscription plans.

6.5 Refund Timing

Approved refunds are returned using the payment method or payment process supported by IdGenum's payment provider.

Processing times may vary by payment provider or financial institution.

6.6 Payment Failures

If payment fails or becomes past due, IdGenum may retry the charge, request updated payment information, restrict paid functionality, or suspend the applicable subscription.

IdGenum will not intentionally prevent a user from canceling a subscription because of a payment dispute.

7. Biometric Verification

IdGenum may offer optional biometric verification features.

Biometric enrollment requires a separate notice and consent process where required by law.

The collection, use, retention, and deletion of biometric information are described in the Privacy Policy and applicable Biometric Privacy Notice.

Successful completion of IdGenum's verification process may result in a persona receiving verified status or related digital credentials.

"Verified" means that the persona completed IdGenum's then-current verification process. It does not mean that IdGenum guarantees:

• the person's legal identity for every purpose;
• ownership of intellectual-property or publicity rights;
• that a persona can never be impersonated;
• that future media associated with the persona is authentic; or
• that third parties are legally required to accept IdGenum's verification.

Withdrawing biometric consent may remove or change verified status and may disable features that depend on biometric verification.

Withdrawal of biometric consent does not automatically require deletion of a basic IdGenum account unless the user separately requests account deletion or applicable law requires otherwise.

8. Verification Credentials and Badges

IdGenum may issue verification badges, credentials, or other status indicators to eligible personas.

A public verification page may display limited information such as:

• display name;
• verification status;
• registration or verification date; and
• a public blockchain or credential reference where applicable.

The information displayed may evolve as the feature changes and will be limited to information intended for public verification.

You may not forge, alter, misuse, imitate, or falsely represent an IdGenum badge, credential, verification result, or status.

IdGenum may issue, modify, suspend, revoke, or discontinue badges or credentials based on:

• account status;
• verification status;
• withdrawal of consent;
• misuse;
• security concerns;
• legal requirements; or
• product changes.

9. Blockchain Features

Certain IdGenum features may create records on public blockchain networks.

You acknowledge that blockchain transactions may be permanent, publicly visible, and generally not deletable or modifiable by IdGenum after publication.

Where technically supported, an identifier or credential may later be deactivated or revoked, but the underlying blockchain transaction may remain publicly accessible.

Public blockchain networks are operated independently of IdGenum. Network congestion, outages, protocol changes, forks, transaction failures, or other third-party network events may affect blockchain-related features.

IdGenum does not guarantee the continued availability or operation of any particular blockchain network.

10. Planned Monitoring and Scanning Features

IdGenum expects to introduce monitoring, scanning, likeness-detection, or related identity-protection functionality after the initial private launch.

Until a monitoring or scanning feature is expressly activated for your account:

• IdGenum does not represent that active internet scanning is being performed for you;
• no subscription feature labeled Coming Soon should be understood as currently active; and
• any feature-specific monitoring or scanning obligations do not begin.

Before activation, IdGenum may provide supplemental disclosures describing:

• the feature;
• the categories of information used;
• any applicable third-party service providers;
• retention practices;
• user controls; and
• any additional consent required.

IdGenum may change the expected launch timing, scope, or technical implementation of planned features.

11. User Content and Identity Materials

You retain ownership of content and identity materials that you lawfully submit to IdGenum.

You grant IdGenum a limited, non-exclusive, worldwide license to host, store, reproduce, process, transform, transmit, and display submitted content only as reasonably necessary to:

• provide the features you request;
• perform verification;
• maintain and secure the Service;
• provide support;
• comply with law;
• prevent fraud or misuse; and
• enforce these Terms.

This license does not grant IdGenum ownership of your likeness, identity, voice, photographs, or other submitted materials.

IdGenum does not obtain a general right to commercially exploit your likeness merely because you use the Service.

12. Acceptable Use

You may not use the Service to:

• impersonate another person;
• submit false, fraudulent, deceptive, or unauthorized identity claims;
• knowingly submit false or abusive reports, complaints, notices, or requests;
• infringe or violate another person's privacy, publicity, intellectual-property, contractual, or other legal rights;
• upload malware or harmful code;
• probe, test, or circumvent security controls without authorization;
• interfere with the operation of the Service;
• access another user's account or data without authorization;
• scrape or collect Service data through unauthorized automated means;
• use IdGenum badges or credentials deceptively;
• bypass subscription or access controls;
• use APIs outside the permissions granted to you;
• reverse engineer, decompile, disassemble, or attempt to derive protected source code, models, algorithms, security mechanisms, or proprietary system logic except where such restrictions are prohibited by applicable law; or
• use automated means to extract or reproduce protected IdGenum systems or data for competitive replication.

IdGenum may investigate suspected violations and take reasonable action to protect users, the Service, and third parties.

13. IdGenum Intellectual Property

IdGenum and its licensors retain all rights, title, and interest in the Service and related technology, including:

• software;
• source code;
• platform design;
• interfaces;
• documentation;
• logos;
• trademarks;
• verification badges;
• proprietary methods;
• algorithms; and
• other IdGenum technology.

Subject to these Terms and your applicable subscription, IdGenum grants you a limited, revocable, non-exclusive, non-transferable right to access and use the Service for its intended purposes.

No ownership interest in IdGenum technology is transferred to you.

14. Privacy

IdGenum's collection and use of personal information are described in our Privacy Policy.

Certain features may be governed by additional privacy notices or consents, including biometric enrollment and future monitoring or scanning functionality.

Use of the Service does not replace any consent that applicable law requires IdGenum to obtain separately.

15. Third-Party Services

The Service may depend on or interact with third-party providers, including cloud infrastructure providers, payment processors, authentication services, blockchain networks, communications providers, and other technology vendors.

IdGenum does not control all third-party services and does not guarantee that any particular third-party system will always remain available, unchanged, or error-free.

Your use of certain third-party services may also be subject to that provider's terms or privacy practices.

16. Suspension and Termination

IdGenum may suspend, restrict, or terminate access where reasonably necessary because of:

• a material violation of these Terms;
• fraud or suspected fraud;
• unauthorized persona registration;
• account compromise or security risk;
• misuse of badges, credentials, APIs, or platform functionality;
• nonpayment;
• legal or regulatory requirements; or
• conduct that materially threatens IdGenum, users, or third parties.

Where reasonably practicable and legally permitted, IdGenum may provide notice of suspension or termination.

You may cancel your subscription or request account deletion using the available account controls or by contacting IdGenum.

Termination or account deletion may result in:

• loss of access;
• termination of future subscription billing;
• removal or revocation of verification status;
• revocation or deactivation of eligible credentials;
• loss of permission to use IdGenum badges;
• deletion of eligible personal information in accordance with the Privacy Policy; and
• continued existence of records that cannot be deleted, including certain public blockchain records or records IdGenum is legally required to retain.

Sections that by their nature should survive termination will remain in effect.

17. Changes to the Service and Beta Features

IdGenum may improve, modify, replace, add, suspend, or discontinue features as the Service evolves.

IdGenum may offer beta, preview, early-access, or experimental features. These features may be incomplete, change without notice, or be discontinued.

Where reasonably practicable or legally required, IdGenum will provide notice before a change materially reduces the core functionality of an active paid subscription.

18. Service Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE."

IdGenum does not warrant that:

• the Service will be uninterrupted or error-free;
• every attempted impersonation, synthetic media event, misuse, or unauthorized use will be detected;
• any planned monitoring or scanning feature will launch on a specific date;
• verification will be accepted by every third party;
• a credential establishes legal ownership;
• a blockchain network will remain continuously available; or
• a third party will remove, disable, or otherwise act upon information based on an IdGenum record or request.

IdGenum does not provide legal, estate-planning, financial, or tax advice.

Some jurisdictions do not allow certain warranty exclusions, so some exclusions may not apply to you.

19. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• IdGenum will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to the Service; and
• IdGenum's aggregate liability for claims arising from the Service will not exceed the amount paid by you to IdGenum during the 12 months immediately preceding the event giving rise to the claim.

These limitations do not apply where prohibited by applicable law.

The final scope of this section may be subject to additional jurisdiction-specific limitations.

20. Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless IdGenum and its officers, employees, and agents from third-party claims arising from:

• content or materials you submit without proper authority;
• fraudulent or unlawful use of the Service;
• infringement or violation of another person's rights; or
• a material violation of these Terms.

This obligation does not apply to claims caused by IdGenum's own wrongful conduct.

21. Governing Law and Disputes

The governing-law, forum, arbitration, class-action, and dispute-resolution provisions for these Terms are subject to final legal review.

Until finalized, IdGenum will apply applicable law and any mandatory consumer protections that cannot lawfully be waived.

22. Changes to These Terms

IdGenum may update these Terms to reflect changes to the Service, business model, legal requirements, or operating practices.

If changes materially affect user rights or obligations, IdGenum will provide notice as required by applicable law.

Where legally required or appropriate because of the nature of the change, IdGenum may require affirmative acceptance of updated Terms.

The "Last updated" date identifies the current version.

23. Electronic Communications

By using the Service, you agree that IdGenum may provide transactional, account, billing, privacy, security, and legal notices electronically.

Marketing communications are managed separately and may be subject to additional consent or opt-out rights.

24. General Terms

If any provision of these Terms is held unenforceable, the remaining provisions will remain in effect to the extent permitted by law.

Failure to enforce a provision does not waive the right to enforce it later.

You may not assign your rights under these Terms without IdGenum's consent, except where applicable law provides otherwise. IdGenum may assign these Terms in connection with a merger, acquisition, restructuring, financing, or sale of substantially all relevant assets, subject to applicable law.

These Terms, together with incorporated policies and any applicable supplemental terms, constitute the agreement between you and IdGenum concerning the Service.

Headings are for convenience only.

IdGenum is not liable for delays or failures caused by events outside its reasonable control, subject to applicable law.
